1. Introduction
Welcome to PrizeStack.io, operated by PrizeStack Ltd, a company incorporated in Scotland (company no. SC836577) with registered office at 5 South Charlotte Street, Edinburgh, Scotland, EH2 4AN (“PrizeStack”, “we”, “our”, “us”).
These Terms and Conditions (“Terms”) govern your use of our website and services. By accessing or using PrizeStack.io, you agree to be bound by these Terms.
2. Definitions
- • “Client” refers to any individual or entity that purchases custom website development services from PrizeStack.
- • “Platform” refers to the proprietary codebase, architecture, features, and systems developed and owned by PrizeStack.
- • “Custom Code” refers to any new, project-specific code, branding, content, or configurations developed solely for a Client.
- • “Services” includes bespoke website builds, Platform licensing, hosting, maintenance, and related digital services.
3. Intellectual Property Ownership
All rights, title, and interest in the PrizeStack Platform, including but not limited to its source code, architecture, reusable components, and proprietary features, remain the exclusive property of PrizeStack.
Nothing in these Terms grants any right or ownership in the Platform to the Client.
4. Licensing
PrizeStack grants the Client a revocable, non-exclusive, non-transferable, non-sublicensable licence to use the Platform solely for its live raffle website as hosted by PrizeStack, and only while fees are paid and the account is in good standing.
No source-code access is provided. Clients are not granted any right to access, modify, download, copy, distribute, or resell the Platform or its components.
5. Custom Development Work and Ownership
Clients retain ownership of the following:
- • Bespoke branding, designs, and visual layouts created specifically for their project
- • Static content provided or written for the Client
- • Images, media, or marketing materials provided by the Client
- • Custom text copy or competition rules unique to their site
- • The Client's trademarks, domain names, and proprietary user data
PrizeStack retains ownership of newly developed features, backend tools, administrative functions, reusable components, or enhancements added to the Platform during or after a client project.
6. Hosting Requirement
All websites built on the PrizeStack Platform must be hosted by PrizeStack or an authorised infrastructure provider. Clients will not be provided with access to the underlying source code of the Platform.
7. Acceptable Use
Clients agree not to use our services or Platform:
- • For unlawful activities
- • To infringe on intellectual property rights
- • To attempt to reverse-engineer, copy, or replicate the Platform
7.1 Fair Competition and Platform Integrity
Clients must operate all competitions fairly, transparently, and in compliance with applicable law and consumer protection regulations.
- • Rigging or manipulating competition outcomes
- • Misrepresenting prizes, odds, or entry conditions
- • Withholding prizes or failing to conduct legitimate draws
- • Any conduct that undermines trust in the fairness of competitions run on the Platform
If we reasonably believe a Client is engaging in conduct that threatens the integrity, fairness, or reputation of the Platform, we may suspend or terminate services without notice.
8. Compliance & Platform Integrity
PrizeStack designs the Platform to meet its compliance criteria, applicable law, and fairness standards. We may decline requested functionality that, in our reasonable opinion, risks non-compliance, enables manipulation, or undermines Platform integrity.
8.1 Anonymous Data Use for Platform Features
The Client agrees that PrizeStack may collect, analyse, and use anonymised and aggregated product, competition, sales, order, usage, and performance data derived from use of the Platform for improving, supporting, developing, and powering Platform features and services.
9. Contracts, Fees and Payment
Project fees, licensing fees, monthly retainers, and other charges will be detailed in the Client's proposal or contract. All fees are non-refundable unless explicitly stated otherwise.
9.1 Billable Work
Unless expressly agreed otherwise in a signed written agreement, all work, advice, support, setup, onboarding, configuration, customisation, development, design, consultancy, troubleshooting, domain/DNS assistance, email/account setup assistance, calls, meetings, and related services carried out by PrizeStack at the Client's request shall be billable at PrizeStack's standard rate of £75 per hour.
This applies whether the request is made verbally, by email, message, call, meeting, or other communication, and whether the work is carried out before or after any formal agreement is signed.
Where PrizeStack agrees to waive, discount, or absorb setup, onboarding, customisation, or support fees on the basis of a minimum subscription term or other commercial commitment, that waiver applies only if the Client enters into and complies with that commitment. If the Client does not proceed, withdraws, cancels, or fails to enter into the agreed arrangement, PrizeStack may invoice all completed work at its standard rate.
9.2 Client Responsiveness Requirement
To ensure timely project delivery, the Client agrees to respond to requests for approvals, information, assets, feedback, or other materials necessary for project progression within 2 business days.
9.3 Late Payments
- • Invoices are due within 7 calendar days unless otherwise agreed in writing
- • At least one reminder will be issued before the due date
- • If payment remains outstanding 7 days after the due date, services may be suspended without notice
- • A £500 reinstatement fee per domain or subdomain may apply after suspension
- • Payments received will be applied to the oldest outstanding invoices first
9.4 Cancellation and Notice Period
- • Either party may terminate ongoing services with not less than one month's written notice by email
- • All agreed fees remain payable during the notice period
- • Upon termination, the Client's licence to use the Platform will automatically terminate
9.5 Project Delivery & Ongoing Support
Contract build terms apply only to the project build and expire upon Delivery. Free training or support during the project ends on Delivery and is thereafter superseded by paid support plans or ad-hoc billed assistance.
9.6 Dispute Resolution
If a dispute arises regarding scope, fees, deliverables, or related matters, PrizeStack may suspend work until the dispute is resolved in writing. During suspension, deadlines, milestones, and estimates may be rescheduled or repriced on recommencement.
9.7 Client Testing and Deployment Approval
Where changes, updates, fixes, integrations, or other work are made available to the Client for testing before deployment to a live environment, the Client is responsible for reviewing and testing those changes and confirming approval before release.
Approval may be given by email, message, support ticket, or other written confirmation. Once approval is given, the Client will be deemed to have accepted the changes as tested and authorised PrizeStack to deploy them to the live environment.
PrizeStack remains responsible for defects arising from its development work, but is not responsible for issues that were reasonably identifiable during Client testing and were approved for deployment, or for issues arising from the Client failing to carry out requested testing before approval.
10. Termination
PrizeStack may terminate or suspend services if the Client breaches these Terms. Upon termination, all licences shall immediately cease.
11. Limitation of Liability
To the maximum extent permitted by law, the Platform and services are provided as-is and used at the Client's own risk. PrizeStack is not liable for indirect or consequential loss, including loss of profit, revenue, data, or business interruption.
For any liability that cannot legally be excluded, PrizeStack's total aggregate liability shall not exceed the fees paid in the preceding month.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the United Kingdom.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the new Terms.
